Corner Loaf — Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and HMB Software LLC, a Florida limited liability company ("HMB Software," "we," "us," "our"), the operator of Corner Loaf — a hyperlocal marketplace that connects home bakers ("Bakers") with customers ("Customers") for cottage-food baked goods (the "Service"). The Service includes the Corner Loaf web app, iOS app, and Android app, and any related back-end services.

By creating an account, listing an item, or placing a reservation, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.


1. What Corner Loaf is — and isn't

Corner Loaf is a listing and discovery platform. We help Bakers describe what they make and help Customers find and reserve those goods nearby. We do not:

  • act as the seller, merchant of record, or party to any sale between a Baker and a Customer;
  • process, hold, or remit any payment for an Order (defined below) — Customers pay Bakers directly at handoff, by cash, the Baker's own payment processor, or any arrangement the Baker and Customer agree to;
  • guarantee the safety, quality, legality, or accuracy of any item listed on the Service;
  • verify any Baker's compliance with the cottage food laws of any state, county, or municipality;
  • transport, store, or deliver any food item;
  • inspect any Baker's kitchen.

Every Baker is an independent operator. HMB Software is not the employer, partner, agent, or franchisor of any Baker. The contract for the sale of any Order is between the Baker and the Customer, not with us.


2. Eligibility

To use Corner Loaf you must:

  • be at least 13 years old, and
  • reside in the United States.

If you are between 13 and the age of majority in your state, you may use the Service only with a parent or legal guardian's permission. By using the Service, you represent that you meet these requirements.

Corner Loaf is United-States-only. The Service is not directed to users outside the United States.


3. Accounts and roles

3.1 Account creation

You create an account through our identity provider (Keycloak). You agree to provide accurate information, keep your credentials secure, and notify us promptly at the email below if you suspect unauthorized access.

3.2 Roles

A single account can hold either or both of the following roles, toggled in-app:

  • Customer. Browses Bakers, places reservations, picks up or receives Orders, and may write reviews of past Orders.
  • Baker. Operates a "kitchen" on Corner Loaf, lists items, accepts Orders, and pays the Baker Subscription described in Section 7.

Switching to a Baker role requires completing onboarding, including the Cottage Food Attestation (see cottage-food-disclaimer.md and Section 6 below).

3.3 Display name

Your public Customer display name is automatically derived as "First L." (for example, "Sarah K."). You cannot choose an alternate public display name.


4. Orders, reservations, and pickup

4.1 Reservations

When a Customer places a "reservation" through the Service, the Customer is making a non-binding request to purchase items from a Baker (an "Order"). The Baker may accept, decline, or counter the Order in the Service.

4.2 Custom order requests

A Custom Order Request expires automatically 24 hours after submission if the Baker does not respond. Expired requests cannot be revived.

4.3 Single-Baker carts

A Customer's cart may contain items from only one Baker at a time. Adding an item from a different Baker will replace the cart contents.

4.4 Pickup or self-delivery

Bakers may offer pickup at an address they designate, or self-delivery within a radius they define. HMB Software does not transport, store, or deliver any Order. All handoff arrangements are between the Baker and Customer.

4.5 Payment for Orders

Customers pay Bakers directly at handoff. HMB Software does not collect, hold, or remit any payment for an Order. Acceptable forms of payment (cash, the Baker's own card terminal, peer-to-peer transfers, etc.) are at the Baker's discretion and must be communicated to the Customer before pickup.

4.6 Cancellations, refunds, and disputes between Customers and Bakers

Because Corner Loaf is not a party to the Order, HMB Software does not process refunds, chargebacks, or dispute resolution for Orders. Customers and Bakers must resolve any dispute about an Order between themselves. We may, at our sole discretion, suspend a Baker or Customer whose conduct violates these Terms (see Section 9).

4.7 Food safety; allergens

Food safety is the Baker's responsibility, not Corner Loaf's. Bakers must accurately describe items, including ingredients and major allergens, on the Service. Customers with food allergies or other dietary needs should contact the Baker directly before ordering to confirm preparation methods and risk of cross-contact. Corner Loaf does not verify allergen claims and is not responsible for adverse reactions.


5. Reviews

5.1 Verified-purchaser only

Only a Customer who has a Completed Order with a Baker may submit a review of that Baker. Reviews are tied to a specific Order.

5.2 Baker reply

Bakers may post one public reply per review.

5.3 Removal

We may, at our discretion, remove a review that violates Section 9 (Prohibited Conduct) or otherwise violates these Terms.

5.4 Your license to your review

By submitting a review or any other content to the Service (an item description, a photo, a message), you grant HMB Software a worldwide, royalty-free, perpetual, irrevocable, sublicensable, transferable license to use, reproduce, distribute, display, and create derivative works of that content, solely for the purpose of operating and promoting the Service. You represent that you own the content you submit or have all necessary rights to grant this license.


6. Baker-specific terms

The following terms apply to Bakers in addition to the rest of these Terms.

6.1 Cottage food law compliance

Bakers operate under their own state's cottage food law. HMB Software does not verify state-by-state compliance. As a condition of becoming a Baker, you must complete the Cottage Food Attestation, including (without limitation):

  • you have read and understand your state's cottage food law (revenue cap, allowed categories, labeling, delivery rules, sales-tax rules);
  • you will label every product in accordance with your state's requirements (including allergen declarations);
  • you will not exceed your state's revenue cap;
  • you will not sell prohibited products;
  • you will not represent your kitchen as licensed or inspected unless it actually is.

6.2 Accurate listings

You must accurately describe every item you list, including ingredients and allergens. You must not list items prohibited by your state's cottage food law.

6.3 Self-attestation, not platform verification

Corner Loaf relies on Baker self-attestation. We do not inspect kitchens, verify revenue, or confirm compliance with state law. You are solely responsible for the legality and safety of every Order you fulfill.

6.4 Indemnification by Bakers

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless HMB Software, its officers, employees, contractors, and agents from any claim, loss, damage, liability, fine, penalty, or expense (including reasonable attorneys' fees) arising out of or related to:

  • your sale or attempted sale of any item through the Service;
  • your failure to comply with any cottage food, food-safety, labeling, tax, or other applicable law;
  • the content of your listings, reviews, replies, or messages;
  • bodily injury, illness, or property damage arising from any item you produced or sold; or
  • any breach by you of these Terms or the Cottage Food Attestation.

This indemnification obligation does not apply to the extent a claim arises from HMB Software's own gross negligence or willful misconduct.


7. Baker Subscription

7.1 Plans and price

A Baker may subscribe at one of the following prices (the "Subscription"):

  • Monthly: $4.99 per month, billed monthly;
  • Annual: $34.00 per year, billed annually.

Prices are in U.S. Dollars and may change with prior notice; any change will not take effect for an existing subscriber until the start of a new billing period.

7.2 Free tier

We offer a usage-based free tier to first-time Bakers: your first five (5) orders are free, with no payment method required up front. To continue accepting orders after your free orders are used, you must start a paid Subscription at one of the prices above. The Subscription begins and is charged to your payment method immediately when you subscribe (there is no separate free-trial period), and renews automatically until canceled. The free-order allowance is granted once per Baker account.

7.3 Stripe billing

The Subscription is billed and processed by Stripe, Inc. ("Stripe"). By starting a Subscription, you agree to Stripe's terms and authorize Stripe to charge your designated payment method on a recurring basis. We do not store full payment-card numbers; Stripe handles all payment data.

7.4 Auto-renewal and cancellation

Subscriptions automatically renew at the end of each billing period until you cancel. You may cancel at any time in the Service (Studio → Billing) or by emailing the support address below. Cancellation takes effect at the end of the current billing period; your Baker access continues until then.

7.5 No refunds for partial periods

Except where required by law, we do not refund Subscription fees for partial billing periods, unused time, or accidental renewals. If your jurisdiction requires a refund or cooling-off period, those rights apply notwithstanding this Section.

7.6 Apple App Store and Google Play

The Baker Subscription is not an Apple in-app purchase. Corner Loaf relies on Apple App Store Review Guideline 3.1.3(e) ("Goods and Services Outside of the App") because the Subscription enables a real-world business outside the app. Stripe is the payment processor; the App Store and Play Store do not handle Subscription billing.

7.7 Effect of cancellation

When your Subscription ends, your Baker listings are hidden from the marketplace and you cannot accept new Orders. Past Orders, reviews, and messages remain on the Service unless you delete your account (Section 10).


8. User-generated content

You retain ownership of content you create on the Service (listings, item descriptions, photos, reviews, messages, custom-request attachments). You grant HMB Software the license described in Section 5.4 to operate and promote the Service.

You agree not to upload content that:

  • is illegal, harassing, threatening, defamatory, obscene, hateful, or invasive of privacy;
  • infringes any patent, copyright, trademark, trade secret, right of publicity, or other proprietary right;
  • contains malware, scraping scripts, or harmful code;
  • impersonates another person or misrepresents your affiliation;
  • offers products you are not legally permitted to sell;
  • makes false health, medical, or safety claims;
  • solicits payment off-platform in a way intended to evade these Terms.

We may remove content that violates these Terms without notice.


9. Prohibited conduct

You agree not to:

  • use the Service in any way that violates any applicable law (including cottage food, tax, consumer-protection, anti-discrimination, or food-safety law);
  • circumvent the Service to avoid the Baker Subscription (for example, by listing items under another person's account);
  • harass, threaten, dox, or stalk another user;
  • attempt to access another user's account or data without authorization;
  • reverse-engineer, decompile, scrape, or otherwise interfere with the Service except as expressly permitted;
  • collect or harvest personal information of other users;
  • introduce viruses, worms, or other harmful code;
  • use the Service to send spam or unsolicited marketing;
  • discriminate against another user on the basis of race, color, religion, sex (including pregnancy, sexual orientation, or gender identity), national origin, age, disability, or any other protected class.

We may suspend or terminate your account for any violation.


10. Account termination and deletion

10.1 Self-deletion

You may delete your account at any time from within the Service (You → Delete account). Deletion is performed as a soft tombstone: your personal information is anonymized, your account is disabled at our identity provider, your favorites are removed, and your past Orders, reviews, and messages remain on the Service in an anonymized form for a legal-hold period. After the hold period expires, the underlying records are hard-deleted.

For users who have held a Baker Subscription, we retain subscription and transaction records for seven (7) years to meet tax and financial-reporting requirements, then hard-delete them. For users who never held a Baker Subscription, we hard-delete the anonymized tombstone promptly and without undue delay once it is no longer needed to resolve any open dispute or prevent fraud. 10.2 Restrictions on deletion

We may refuse a deletion request while you have in-flight Orders (an Order is "in flight" if its status is Pending, Confirmed, Preparing, or Ready) or an active Baker Subscription. You must complete or cancel those first.

10.3 Termination by us

We may suspend or terminate your account at our discretion for violation of these Terms, fraud, suspected illegality, repeated user complaints, or extended inactivity. We may give notice where reasonably practicable but are not required to.

10.4 Survival

Sections that by their nature should survive termination (including 1, 4.5–4.7, 5.4, 6, 8–9, 11–17) survive.


11. Modifications to the Service or these Terms

We may modify the Service or these Terms at any time. For material changes to these Terms, we will provide reasonable advance notice (for example, by email or in-app notice) before the change takes effect. Your continued use of the Service after the effective date of the change constitutes acceptance. If you do not agree to a change, you must stop using the Service before it takes effect.


12. Intellectual property

Corner Loaf, the Corner Loaf logo, the user interface, the underlying software, and all related content (other than User-generated content) are owned by HMB Software and protected by U.S. and international intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.


13. Third-party services

The Service relies on third-party providers (identity, payments, email, image storage, push notifications) listed in the Privacy Policy. Your interactions with those providers are also governed by their own terms.


14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

WITHOUT LIMITING THE FOREGOING:

  • HMB Software does not warrant the safety, quality, legality, or accuracy of any item listed on the Service.
  • HMB Software does not warrant any Baker's compliance with cottage food law or any other law.
  • HMB Software does not warrant that Bakers and Customers will perform their obligations to each other.
  • HMB Software does not warrant that allergen claims, ingredient lists, or "kitchen handles" tags are accurate.

Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions, exclusions apply only to the extent permitted by law.


15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HMB SOFTWARE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY ORDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID HMB SOFTWARE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

NOTHING IN THESE TERMS LIMITS LIABILITY FOR (I) DEATH OR PERSONAL INJURY CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, (II) FRAUD, OR (III) ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY LAW.


16. Governing law and dispute resolution

16.1 Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflicts-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2 Informal resolution first

Before filing any formal dispute, you agree to contact us at the support address below and give us at least 30 days to attempt to resolve the dispute informally.

16.3 Binding arbitration

If informal resolution fails, any dispute arising out of or related to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in Florida or via remote video proceeding. Judgment on the award may be entered in any court of competent jurisdiction. You and we waive the right to a jury trial.

16.4 No class actions

You and we agree that any dispute will be brought in an individual capacity only, and not as a class, collective, or representative action.

16.5 Carve-outs

Either party may bring an action in small-claims court within the small-claims limit, and either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.

16.6 Opt-out

You may opt out of the arbitration agreement in Sections 16.3–16.4 by emailing the support address below within 30 days of first accepting these Terms, with the subject "ARBITRATION OPT-OUT" and your account's email. Opting out does not affect any other part of these Terms.


17. Miscellaneous

  • Entire agreement. These Terms, the Privacy Policy, and the Cottage Food Attestation are the entire agreement between you and HMB Software regarding the Service.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Notices. We may send notices via the email on your account or via in-app notification.
  • Independent contractors. Nothing here creates an employer/employee, partnership, joint venture, or franchise relationship.
